Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vinnie Autos website, APIs, SDKs, and related services (collectively, the "Services"). By creating an account, integrating our APIs, or otherwise accessing the Services, you agree to be bound by these Terms and our Privacy Policy.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization. If you do not agree with these Terms, you must not access or use the Services.

You must be at least 18 years old and capable of forming a binding contract to use the Services. You may not use the Services if you are barred from doing so under applicable law or have been previously suspended or removed from the Services.

You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access or security incident. We may suspend or terminate your access if we suspect fraudulent or abusive activity.

• Maintain accurate, complete, and current account information.
• Use strong passwords and rotate API keys regularly.
• Do not share credentials with third parties without written authorization.

You agree not to misuse the Services. Prohibited activities include, without limitation, attempting to probe, scan, or test the vulnerability of any system; reverse engineering or duplicating the Service; and using the APIs in violation of applicable laws or regulations (including data protection, export control, and intellectual property laws).

We reserve the right to investigate violations of these Terms and suspend or terminate accounts that breach our policies.

Vinnie Autos retains all rights, title, and interest in and to the Services, including all related intellectual property and proprietary rights. You retain ownership of data and content you submit to the Services, subject to the licenses granted herein.

By submitting content or feedback, you grant us a worldwide, royalty-free license to use, reproduce, modify, and display that content as necessary to operate and improve the Services.

Certain features of the Services are provided on a paid basis. Fees are billed in the manner set forth at the time of purchase or in your subscription agreement. Unless otherwise stated, all payments are non-refundable.

You are responsible for all taxes associated with the Services, excluding taxes based on our net income. Late payments may result in suspension or termination of access.

We strive to maintain high availability, but we do not guarantee uninterrupted access. Planned maintenance will be communicated in advance when possible. We are not liable for delays, delivery failures, or damage resulting from events beyond our reasonable control.

If we share confidential information with you, you agree to protect it using at least the same degree of care you use for your own confidential information and to use it solely for purposes consistent with these Terms.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

To the maximum extent permitted by law, in no event will Vinnie Autos, its affiliates, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, incurred by you or any third party, even if we have been advised of the possibility of such damages.

Our aggregate liability for any claims arising out of or related to the Services will not exceed the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim.

You may terminate your account at any time by contacting support. We may suspend or terminate the Services immediately if you breach these Terms or if required by law. Upon termination, your right to access the Services will cease immediately, but the provisions of these Terms that by their nature should survive termination will remain in effect.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to such jurisdiction.

We may modify these Terms from time to time. If we make material changes, we will provide notice through the Service or by email. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
